INSPECTOR SERVICE AGREEMENT

BY REGISTERING AS AN INSPECTOR ON THE DRIVEREADY PLATFORM, OR BY ACCEPTING INSPECTION REQUESTS, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
This Service Agreement (the “Agreement”) is entered into between you (“INSPECTOR”) and DriveReady LLC (“DRIVEREADY”) and is effective on the date that the Agreement is accepted by INSPECTOR.
RECITALS
WHEREAS, INSPECTOR is a recognized and skilled automotive professional (e.g., ASE Certified) who meets the criteria listed in the DriveReady application process; and WHEREAS, DRIVEREADY desires to engage INSPECTOR to provide vehicle owners (each, a “DRIVER”) with virtual verification services to assess compliance with rideshare and rental platform safety standards. NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. TERM
The term of this Agreement shall commence on the Effective Date and shall continue until terminated in accordance with the terms hereof.
2. BASIC OBLIGATIONS
(a) Performance of Inspections. INSPECTOR agrees to perform virtual video-based inspections to verify vehicle safety features against a standardized checklist. INSPECTOR acknowledges that they are performing a visual verification of safety components (lights, tires, glass, seatbelts, etc.) and are not providing a mechanical diagnosis, engine warranty, or guarantee of future performance. INSPECTOR is responsible for verifying the Vehicle Identification Number (VIN) and current odometer reading during the live video session.
(b) Licensing and Certification. INSPECTOR represents that they currently hold, and will maintain throughout the Term, a valid ASE (Automotive Service Excellence) certification or equivalent qualification required to sign off on state or rideshare-mandated safety forms. INSPECTOR must immediately notify DRIVEREADY if their certification lapses or is revoked.
(c) Professional Conduct. INSPECTOR shall conduct all video sessions with the highest standards of professionalism. INSPECTOR shall not engage in any activity that may injure or adversely reflect on the reputation of DRIVEREADY, including but not limited to soliciting bribes for passing non-compliant vehicles.
(d) Appearance and Environment. INSPECTOR shall wear appropriate, professional clothing during video calls. INSPECTOR agrees to accept calls only when in a quiet environment with a stable internet connection suitable for viewing high-definition video of vehicle components.
(e) Non-Compete / Branded Apparel. At no time during inspections shall INSPECTOR’S apparel display the branding of direct competitors to DRIVEREADY. INSPECTOR agrees not to solicit DRIVERS to bypass the DRIVEREADY platform for off-platform services.
3. CONFIDENTIALITY
INSPECTOR acknowledges that they will have access to Driver Personal Information (PII), including names, addresses, VINs, and license plate numbers. INSPECTOR agrees to keep all such information strictly confidential and to use it solely for the purpose of completing the inspection form. INSPECTOR shall not record or store inspection video or data on personal devices; all data must be processed through the DRIVEREADY platform.
4. COMPENSATION
For services performed in accordance with this Agreement, DRIVEREADY shall compensate INSPECTOR based on the rates set forth in Schedule A (Compensation) attached hereto, or as displayed within the Inspector Dashboard at the time of the inspection offer. Payment will be remitted via a third-party payment processor (e.g., Stripe) pursuant to the processor’s terms of service.
5. GRANT OF RIGHTS
(a) Recordings. INSPECTOR agrees that DRIVEREADY has the right to record, store, and audit all video inspections performed under this Agreement for liability and quality assurance purposes.
(b) Ownership of Work Product. All results of the Services, including the signed Inspection Certificates, video recordings, and screenshots (collectively, the “Work”), shall be the exclusive property of DRIVEREADY. INSPECTOR hereby assigns to DRIVEREADY all rights, title, and interest in the Work.
(c) Use of Likeness. INSPECTOR grants DRIVEREADY permission to use INSPECTOR’S name, profile picture, and ASE credentials within the Platform to demonstrate qualification to DRIVERS.
6. RELEASE AND INDEMNIFICATION
(a) Release. INSPECTOR releases DRIVEREADY and its affiliates from any claims, liabilities, or damages arising out of INSPECTOR’S performance of services, including any disputes arising between INSPECTOR and a DRIVER regarding the outcome of an inspection.
(b) Indemnification. INSPECTOR agrees to indemnify and hold harmless DRIVEREADY from any claims, damages, or penalties arising out of INSPECTOR’S negligence, gross misconduct, or falsification of inspection documents (e.g., passing a vehicle that clearly fails safety standards).
7. INDEPENDENT CONTRACTOR
INSPECTOR is an independent contractor. Nothing in this Agreement shall create an employer-employee relationship, partnership, or joint venture between the parties. INSPECTOR is solely responsible for all tax reporting and payments required by applicable law. INSPECTOR is not entitled to any employee benefits from DRIVEREADY.
8. SUSPENSION AND TERMINATION
DRIVEREADY may suspend or terminate this Agreement at any time, with or without cause. Specifically, DRIVEREADY reserves the right to immediately terminate INSPECTOR for falsifying inspection results, abusive behavior toward Drivers, or failure to maintain active ASE certification.
9. MISCELLANEOUS
(a) Governing Law. This Agreement shall be governed by the laws of the State of Colorado.
(b) Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
(c) Modification. DRIVEREADY may modify the terms of this Agreement by providing notice to INSPECTOR via email or the Platform. Continued use of the Platform constitutes acceptance of the modified terms.
SCHEDULE 1: INSPECTOR CODE OF CONDUCT
As a DriveReady Inspector, you are the face of our trust and safety promise. You agree to:
- Integrity First: Never pass a vehicle that has a visible safety defect (e.g., cracked windshield in view of driver, bald tires, broken lights). If a vehicle fails, mark it as Fail.
- Professionalism: Treat all Drivers with respect. Do not engage in arguments if a vehicle fails; simply explain the specific criteria that were not met.
- Privacy: Never contact a Driver outside of the DriveReady platform or use their data for personal reasons.
- Safety: Do not ask Drivers to perform unsafe actions during the inspection. Ensure the vehicle is stationary when checking exterior components.
- Punctuality: Join scheduled video sessions on time. If you cannot make an appointment, release it immediately so another Inspector can take it.
SCHEDULE 2: COMPENSATION TERMS
Payment Platform: INSPECTOR must set up a connected account with our designated payment processor (e.g., Stripe Express).
Payout Frequency: Payouts are processed on a weekly basis for all completed inspections from the prior week.
Rate: INSPECTOR will be paid a flat fee per completed inspection. The specific fee will be presented to INSPECTOR in the app before accepting the inspection request.
Disputes: DRIVEREADY reserves the right to withhold payment if an inspection is found to be fraudulent or incomplete (e.g., Inspector signed a form without video evidence of the vehicle).
